Filing An Llc In The United States
The LLC is a business entity which must be filed with the Secretary of State in the state where the LLC is going to conduct its business. If the LLC is going to conduct business in more than one state, additional documents must be filed in every state in which it is going to conduct business as a “foreign LLC” authorized to conduct business in that state.
The filing of an LLC is basically the same in each state, although there are, invariably, some differences between the various states. The first thing you do is obtain the services of a resident agent. All new business entities filed with the Secretary of State must list the name and address of a resident agent. The name “resident agent” might change depending upon the state, but the purpose remains the same. Some states will call the resident agent a “registered agent,” an “authorized agent,” or even an “agent for service of process.” The main purpose of the resident agent is to be the person or entity authorized to accept service of the summons and complaint in the event the LLC is sued. The resident agent may be an individual who is a resident of that state or it may be a business with a business address in that state. Occasionally, if the resident agent is a business, it must be registered with the Secretary of State for that purpose. Individuals do not, generally, have to be registered.
Once you have obtained a resident agent, you must complete the Articles of Organization. Most states now have their form Articles of Organization online, and it is better to use the state approved form for filing. Some states, such as Nevada will not accept a filing unless it is on the state approved form. These forms are normally one or two pages, and are relatively easy to fill out. After the Articles are completed, you will submit them to the Office of the Secretary of State together with the appropriate filing fee. Most states have an expedited filing where, for an additional fee, the filing will be completed in 24 hours.
Once the Articles are filed, additional steps will change for each state, for the filing requirements are different in each separate state. You will have to check the requirements for your state to determine what, if any, additional filing process steps you must complete. You must complete all the steps of registration, or you may find that failure to complete the filing process will result in your LLC being placed in default and no longer authorized to conduct business. For example, Nevada requires the filing of both a business registration application and an initial list of Managers or Members. Both of these filings require the payment of additional fees. Other states may have similar requirements which must be completed in order to successfully complete the filing process.
After the above steps are completed you will have successfully filed the Articles of organization and your LLC is authorized to conduct business in the state of filing. It will still be necessary to prepare the Operating Agreement, issue member interests to the owners, obtain an EIN from the IRS and possibly file for a city or county business license in the area in which you are planning to conduct business.
